Digital Products: Concept Unclear develops and provide Software on Freemium Model. The Freemium Model refers to the availability of both free and paid versions of the same software, with the paid version referred to as the ‘Pro Version’

• Learning Materials: It includes but not limited to Video, Audio, Blog or Articles.
• Online Tool: Our online file conversion tool to convert images from WebP to JPG/PNG formats.

LICENSE TO USE

The Owner may provide You with certain information as a result of Your use of Concept Unclear’s Products (“CUP”). Such information may include but is not limited to, documentation, data, or information developed by the Owner, and other materials which may assist in Your use of the Concept Unclear’s Products (“CUP”). The Owner grants you a non-exclusive, non-assignable, limited, non-transferable, and revocable license to use Concept Unclear’s Products (‘CUP’) solely for personal and non-commercial purposes, in accordance with these Terms of Use

The Concept Unclear’s Products (“CUP”) may not be used for any other purpose and this license terminates upon Your cessation of use of the Concept Unclear’s Products (“CUP”) or at the termination of these Terms of Use. Any unauthorized use by You shall terminate the permission or license granted to You by Owner and You agree that You shall not bypass any measures used by the Owner to prevent or restrict access to the Concept Unclear’s Products (“CUP”).

INTELLECTUAL PROPERTY

You agree that the Concept Unclear’s Products (“CUP”) provided by the Owner are the property of the Owner, including all copyrights, trademarks, trade secrets, patents, and other intellectual property (“Owner IP”). You agree that the Owner owns all rights, title, and interest in and to the Owner IP and that You will not use the Owner IP for any unlawful or infringing purpose. You agree not to reproduce, distribute, or modify the Owner IP in any form, including electronically or by registering trademarks, trade names, service marks, or uniform resource locators (URLs) derived from the Owner IP, without prior written permission.

By using Concept Unclear’s Products (“CUP”), you agree not to engage in any prohibited activities as outlined below. Additionally, you must refrain from using “CUP” in any manner that could harm the services, tools, website, or the general business of the Owner.

   • You may not attempt to hack, breach, or compromise the security or integrity of any data, content, or systems associated with “CUP.”
   • Automated means, such as bots, scripts, crawlers, scrapers, or spiders, are prohibited for accessing or using “CUP.”
5. Disruptive Activities
   • You are prohibited from engaging in mass uploads, automated requests, or other activities that could disrupt the service.
   • Any activities that disrupt or interfere with the operation, security, or integrity of “CUP” or its tools (e.g., conversion tool) are strictly prohibited.
6. Reverse Engineering and Unauthorized Use

   • You are prohibited from reverse-engineering, decompiling, disassembling, or attempting to derive the source code of “CUP” or its tools.

   • You acknowledge that any content uploaded, converted, or shared through “CUP” is your sole responsibility.

SPAM POLICY

The use of Concept Unclear’s Products (‘CUP’) for illegal spam activities is strictly prohibited. This includes, but is not limited to, gathering email addresses or personal information from others or sending mass unsolicited commercial emails

THIRD-PARTY LINKS & CONTENT

Concept Unclear’s Products (‘CUP’) may include links to third-party websites or services. You acknowledge and agree that Concept Unclear is not responsible for the availability, content, or any loss or damage arising from your use of third-party links or services

MODIFICATION & VARIATION

The Owner may, from time to time and at any time without notice to You, modify these Terms of Use as a whole or in a part. You agree that the Owner has the right to modify these Terms of Use or revise anything contained herein. You further agree that all modifications to these Terms of Use are in full force and effect immediately upon posting on this Website and that modifications or variations will replace any prior version of these Terms of Use unless prior versions are specifically referred to or incorporated into the latest modification or variation of these Terms of Use.

ENTIRE AGREEMENT

This Agreement supersedes all prior agreements or understandings, written or oral, related to the use of Concept Unclear’s Products (‘CUP’). Where specific terms exist, such as within the End User License Agreement (EULA), those terms shall prevail except where explicitly addressed in this Agreement.

TERM, TERMINATION & SUSPENSION

The Owner may terminate these Terms of Use with You at any time for any reason, with or without cause. The Owner specifically reserves the right to terminate these Terms of Use if You violate any of the terms outlined herein, including, but not limited to, violating the intellectual property rights of the Owner or a third party, failing to comply with applicable laws or other legal obligations, and/or publishing or distributing illegal material. At the termination of these Terms of Use, any provisions (inclusive of EULA of each software) that would be expected to survive termination by their nature shall remain in full force and effect.

RESPONSIBILITIES & TIMELINES

By using our services, you agree that Concept Unclear follows the Indian Standard Time for communication.

We typically respond to inquiries, requests, payments, or refund-related concerns within 2-3 business days. However, delays may occur due to unforeseen circumstances, and Concept Unclear assumes no liability for such delays.

Users are required to submit requested information within the stipulated time frame. Failure to provide the necessary documentation may result in delays or inability to process requests, for which Concept Unclear will not be held liable.

RIGHTS & RESPONSIBILITIES

Evaluation of Requests Concept Unclear retains the right to evaluate, process, approve, or deny any user request related to our services, including but not limited to “License Key Requests” and “License Key Request Cancellations.” Such evaluations will be conducted at our sole discretion, ensuring compliance with applicable policies and procedures.

Support for Software Activation We reserve the right to assist users with software activation, determining the appropriate methods, timelines, and extent of support required. Concept Unclear has the authority to assess individual cases of software activation challenges and provide solutions accordingly.

Verification of Software Activation Failures Concept Unclear reserves the right to verify software activation failures, including evaluating methods, processes, duration, and relevant verification steps. Users agree to fully cooperate during this verification process to assist in resolving any issues.

Remote Desktop Access In certain cases where resolution is not possible through standard methods—such as software activation issues—Concept Unclear may request a Remote Desktop Connection to address the issue. By agreeing to this process, you accept full responsibility for facilitating access to your system and supporting our team during the resolution effort.

UPI QR-Code Submission In cases where refunds cannot be issued due to non-functioning or missing UPI IDs, we may request users to submit a UPI QR-Code for refund purposes. By providing a UPI QR-Code, you confirm that it belongs to your own account. Concept Unclear will not be liable for refund errors caused by incorrect or unauthorized QR-Code details provided by users.

User Cooperation Obligations Users are expected to promptly provide any required information or documents requested by Concept Unclear to facilitate services or resolve issues. Failure to provide necessary details within a stipulated timeline may result in delays, incomplete processing, or inability to address concerns, for which Concept Unclear assumes no liability.

Ownership and Accountability Concept Unclear reserves all rights related to the management and operation of its digital products, services, and tools. Users agree to adhere to these Terms of Use and to use all Concept Unclear’s Products (“CUP”) responsibly and in accordance with applicable policies, procedures, and laws.

NO WARRANTIES

You acknowledge and agree that your use of Concept Unclear’s Products (“CUP”) is at your sole and exclusive risk. All CUP are provided on an “as is” and “as available” basis without any warranties of any kind, express or implied. This includes, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, or that CUP will be uninterrupted, timely, secure, defect-free, error-free, or virus-free.

Digital Products & Environmental Requirements Digital products may require specific hardware or software environments as detailed on their respective product pages. You are solely responsible for ensuring that your system meets these requirements and for any modifications, updates, or fees needed to maintain compatibility.

Automated and Online Tool/Services Certain CUP, including our automated online file conversion tool, are designed to deliver high-quality output. However, we do not warrant or guarantee that the outcomes will always meet your expectations or be error-free.

Security and Data Protection While we have implemented reasonable measures to safeguard CUP, we cannot guarantee that CUP or any data therein will be immune to unauthorized access, hacking, or other security breaches.

Payment Processes We strive to ensure that payment processes—whether payments made to us or refunds issued to you—are completed successfully and on time. However, we have no control over factors such as payment gateways, banking services, or website responsiveness, and thus we do not guarantee the accuracy or reliability of any payment process.

License Keys and Post-Purchase Support Acquiring a License Key (Activation Key & Access Key) only grants you the right to use that key for the specific installation on your hardware. The License Key fee covers only the acquisition of the key; no post-purchase services, maintenance, or ongoing support are provided. If the associated Computer Key or Device ID is changed by any how, the License Key will cease to function, and you accept full responsibility for such issues.

Updates We periodically update our CUP to add features, correct errors, or improve performance. However, we do not guarantee the timely availability or continued delivery of such updates.

LIMITATION ON LIABILITY

You acknowledge and agree that Concept Unclear’s Products (“CUP”) are provided at your sole and exclusive risk. To the fullest extent permitted by law, Concept Unclear and its affiliates shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or related to:

1. Availability and Performance
   • Any interruption, inaccessibility, or inability to use CUP due to reasons including, but not limited to:
     • Equipment malfunctions or failures;
     • Periodic maintenance procedures or repairs;
     • Force Majeure events;
     • Limitations related to your device, hardware, or software;
     • Unavailability, incompatibility, or deficiencies of any third-party software interacting with CUP; or
     • Your violation of any relevant provision of these Terms and Conditions.
2. Data and System Damage
   • Any damage or loss to your device, system, data, or customizations resulting from the download, use, or reliance on CUP or its materials.
3. Service Output and Accuracy
   • Any dissatisfaction or losses related to the suitability, accuracy, reliability, performance, or outcomes of automated services or materials provided by CUP, including the quality of file conversions or related outputs.
4. User Responsibility for Content
   • Users are solely responsible for ensuring they have the legal right to upload any files when using CUP. Concept Unclear will not be held liable for any copyright infringement or legal issues arising from the use of uploaded files or the consequences of their processing and output. Any detected abuse of CUP, including copyright violations, may result in immediate suspension or termination of access.
5. Payment Processes
   • Any delays, failures, or losses related to payment processing—whether caused by payment gateways, banking services, or external communication delays—are beyond our control, and we assume no liability for such issues.
6. Security Breaches
   • Any unauthorized access, hacking, or third-party breaches affecting CUP or your personal data, as well as any losses or damages arising from such incidents.
7. Third-Party Content and Conduct
   • Any harm caused by third-party content or conduct, including but not limited to defamatory, obscene, offensive, or illegal actions, or any infringement of intellectual property rights by third parties.
8. Discontinuation Policy
   • Concept Unclear reserves the right to discontinue any CUP or component thereof at any time without liability to you or any third party.
9. Termination Effects
   • Loss of any data, customizations, or other information that occurs after the termination of these Terms and Conditions, regardless of the cause.

Maximum Liability In any event, the aggregate liability of Concept Unclear and its affiliates shall not exceed the total amount (if any) paid by you for access to CUP. Your sole remedy for any dissatisfaction with CUP is to discontinue using the products.

GENERAL PROVISIONS:

Language All communications and notices pursuant to these Terms of Use shall be conducted in the English language.

Jurisdiction, Venue, and Governing Law By using Concept Unclear’s Products (“CUP”), you agree that the laws of India shall govern any disputes arising out of or relating to these Terms of Use, with the exception of its conflict of law provisions. Any litigation permitted under these Terms of Use shall be submitted exclusively to the jurisdiction of the courts at Junagadh, India. This provision is mandatory, and you waive any objection to venue, including invoking the doctrine of forum non-convenience or similar principles.

Indemnification You agree to indemnify, defend, and hold harmless Concept Unclear, its affiliates, directors, officers, employees, agents, licensors, and suppliers from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

• Your access or use of CUP;
• Your violation of these Terms of Use or the Privacy Policy;
• Your infringement of any rights of another person or entity; or
• Your breach of any applicable laws or regulations.

Severability If any provision or part of these Terms of Use is deemed invalid or unenforceable by a court of law or competent arbitrator, the remaining provisions shall remain in full force and effect. The invalid or unenforceable part will be enforced to the maximum extent permissible by law.

No Waiver Failure by Concept Unclear to enforce any provision of these Terms of Use shall not constitute a waiver of future enforcement of that provision or any other provision. A waiver of any specific provision or part shall not be construed as a waiver of any other provision or part.

Headings for Convenience Only Headings used within these Terms of Use are provided solely for organizational purposes and shall not affect the interpretation or meaning of any provision.

Exclusive Remedy If you are dissatisfied with CUP or any portion thereof, or you do not agree with these Terms of Use or the Privacy Policy, your sole and exclusive remedy is to discontinue use of CUP.

Equal Importance of Policies All policies, including these Terms of Use, the Access Policy, Refund and Cancellation Policy, and Privacy Policy, are equally significant. In the event of a conflict due to differences in language, grammar, or interpretation, the owner reserves the right to determine and justify the intended meaning.
